This Agreement is entered into by and between LetMeCheck and Customer to govern Customer’s installation and use of LetMeCheck Products and related Support.

    1. DEFINITIONS#

    • Active Version: (i) the most recent version of the Product; (ii) the version preceding the most recent version of the Product; (iii) the most recent LTA version of the Product; or (iv) the LTA version preceding the most recent LTA version of the Product, but only for a 6-month period after the most recent LTA version is released.
    • Agreement: these LetMeCheck Terms and Conditions.
    • Authorized Contact(s): the person or group of people Customer designates to contact LetMeCheck for Support.
    • Authorized Use: Customer’s installation and operation of a Product to analyze code on each LetMeCheck Instance for which it has obtained a License Key.

    2. SERVICE DESCRIPTION#

LetMeCheck connects to your GitHub account to access your code repositories. The service then runs code analysis on your code using SonarQube in our backend infrastructure to provide you with code quality and security reports. By using our service, you grant LetMeCheck permission to access your repositories and analyze your code for this purpose. We do not store your code on our servers; it is deleted as soon as the analysis is complete. We do, however, store the results of the scan to provide you with historical data and other valuable insights.

    3. PRODUCT EVALUATION#

Customer may use our Free Plan to evaluate the Product prior to purchasing a paid subscription. LetMeCheck offers multiple subscription tiers including Free, Founder's Friend, Enterprise, Hire a Dev, and Local Setup plans. For custom plans (Enterprise, Hire a Dev, and Local Setup), Customer may request a trial period or custom pricing. LetMeCheck may accept or decline such requests at its own discretion.

    4. SUPPORT#

If Customer has purchased Support or is otherwise entitled to receive Support based on the License that Customer has purchased, LetMeCheck will provide Support in accordance with the Support terms. In order to receive Support, Customer must operate an Active Version of the Product.

    5. DELIVERY AND PAYMENT#

    (a) Promptly following Customer’s purchase of a License, LetMeCheck will provide Customer with a License Key.

    (b) LetMeCheck will generally invoice Customer at the time it provides a License Key. Customer shall pay undisputed invoices (plus any applicable VAT or sales tax) by an electronic funds transfer to be received in LetMeCheck’s account within thirty (30) days of receipt unless the Parties have agreed otherwise in writing.

    6. INTELLECTUAL PROPERTY RIGHTS#

    (a) Subject to the terms, conditions, and limitations of this Agreement, LetMeCheck grants Customer a worldwide, non-exclusive, non-transferable, non-sublicensable, and revocable License for the Authorized Use of a Product.

    7. GOVERNING LAW AND JURISDICTION#

    (a) This Agreement is deemed to have been made under and shall be governed by and construed in accordance with the laws of California.

    (b) Any dispute, controversy, or claim arising under, out of, or relating to this Agreement shall be submitted to arbitration in accordance with the rules of the American Arbitration Association.

This Agreement was last updated on July 1, 2024, and replaces all previous versions as of that date.
